Two of Sojitz Corporation’s consolidated subsidiaries, Nissho Electronics Corporation (“Nissho Electronics”) and Sojitz Systems Corporation (“SSC”), have resolved to merge in accordance with the outline below.


1. Purpose of the Merger
Respond to customers’ diverse needs by combining Nissho Electronics’ strength in ICT infrastructure software and construction with SSC’s core system development, construction, and administration ability. Additionally, raise Sojitz’s presence within the ICT industry and build a platform for sustainable growth through initiatives aimed at Japan’s growing “Competitive IT”* and “AI/IoT” fields.

2. Outline of the Merger

(2)Merger Structure
   While the companies will maintain an egalitarian relationship following the merger, in terms of legal proceedings, the company will retain the name Nissho Electronics having absorbed SSC.
